Join Macquarie’s Infrastructure and Real Assets Division in a junior company secretarial position, assisting with the governance for the Division’s Australian managed investments and funds (non-listed companies).

Macquarie Infrastructure and Real Assets is part of our Macquarie Asset Management Group the asset management arm of Macquarie Group.

As a junior company secretarial specialist, you’ll be part of the Sydney-based Legal and Company Secretarial team. As you’ll be embedded within the Infrastructure and Real Assets business, you’ll have the opportunity to work closely with commercial colleagues.

Your responsibilities will include :

  • managing coordination of board and committee meetings including agendas, reviewing board approvals, board paper collation and acting as secretary at meetings (including minute taking)
  • providing day-to-day company secretarial support including director changes, maintenance of statutory records and the electronic corporate database, coordination of corporate regulatory filings, liaising with outsourced service providers on global companies, D&O liability insurance
  • drafting board papers, resolutions and basic legal documents for corporate actions (for example, share issues / reductions, shareholder loans, notices of meetings, liquidations, powers of attorney)
  • establishing new fund and asset management structures, including both companies and trusts
  • provisioning company secretarial guidance and support to the business during transactions and other ad hoc projects
  • coordinating the execution of documents and maintaining document execution registers
  • supporting the Legal and Company Secretarial team with general duties as assigned, including working closely with other regional Company Secretarial teams within the division.

    To be successful in this role, you’ll have around 3-5 years’ experience in a similar Assistant Company Secretary or junior company secretarial role, with a proficient knowledge of Australian corporate governance practices and processes.

    Experience managing investment fund structures across a range of jurisdictions and specific exposure to the infrastructure sector will be viewed particularly favourably.

    You’ll have excellent planning, organisation and communication (written and verbal) skills, enabling you to deliver high-quality work with attention to detail whilst managing competing demands and deadlines in a fast-paced environment.

    You’ll have experience with Diligent Entities and Diligent Boardbooks (preferred) or another corporate database and electronic board paper software.

    An ACIS / GIA accreditation (or GIA certificate currently working towards the GIA Graduate Diploma will be considered) is desirable.
